EQT has signed an agreement to acquire Stockbridge, a San Francisco real estate investment manager with approximately $16.5 billion in fee-generating assets under management, according to IREI.
This publication reported on Oct. 15 that the price is $375 million.
The transaction covers 100% of Stockbridge's management company and GP entities, and closing is expected in the first quarter of 2027.
Stockbridge was founded in 2003 and employs about 185 professionals across six U.S. offices, serving roughly 180 institutional clients, according to IREI.
Per Franzén, EQT's CEO and managing partner, said the real estate platform "is an important part of EQT's offering to our clients" and called the deal "a significant next step in the development of the business." He also said Stockbridge "has built an impressive track record over more than two decades" and that the combination broadens what EQT can offer clients through "additional thematic strategies supported by specialist investment teams."
Henry Steinberg, global head of EQT Real Estate, said the transaction will let the unit deliver returns "across a broader range of sectors" and will "expand our industrial platform and broaden client access to complementary strategies." He said the aim is to accelerate the unit's evolution "into a more thematically diversified real estate manager" while staying "true to our sector-specialist, local-with-locals approach."
What the price buys
The $375 million price equals about 2.3% of Stockbridge's $16.5 billion fee-generating AUM. Fee-generating AUM is not revenue, so the ratio is a size comparison rather than an earnings multiple. PRED records list EQT Real Estate with $35.1 billion in regulatory assets and 222 employees as of Oct. 17; regulatory assets and fee-generating AUM are different measures, so those two figures are not additive.
The disclosures do not break out Stockbridge's sector mix, so how much industrial capacity the deal adds cannot be measured from what has been disclosed. EQT has been active in U.S. industrial real estate. This publication reported that EQT struck a $1.2 billion purchase of a Rexford non-core portfolio in August and exited 10.5 million square feet of Southeast logistics to LBA the same month. This month, KPERS committed $100 million to EQT Exeter U.S. industrial value-add Fund VII, whose $6 billion maximum size is $1.2 billion above the $4.8 billion final close of its predecessor.
