EQT AB agreed to acquire Stockbridge, a San Francisco real estate investment manager with about $16.5 billion in fee-generating assets, for base consideration of $375 million plus up to $175 million over four years. Connect CRE reported the agreement on Oct. 15, and the companies expect the deal to close in the first quarter of 2027.

The purchase covers 100% of the Stockbridge management company and the general partner entities that control interests in the Stockbridge funds. Against the disclosed figures, the $375 million base price equals roughly 2.3% of Stockbridge's fee-generating assets; paying the full four-year earnout would take the $550 million total to about 3.3%. These are simple ratios of numbers in the announcement, not a stated valuation method.

Stockbridge was founded in 2003 and has about 185 professionals across six U.S. offices serving roughly 180 institutional clients. Its specialty lies in traditional property sectors and subsectors, including industrial outdoor storage, alternative living such as manufactured housing, and established open-ended core products.

Industrial platform integration

Stockbridge's industrial capabilities will be combined with EQT Real Estate's existing industrial platform, while its diversified and alternative-sector strategies become a dedicated business line inside EQT Real Estate. Existing leadership, investment teams and decision-making processes will largely remain in place, the two companies said.

Stockbridge CEO Terry Fancher becomes vice chair of EQT Real Estate, CFO Kristin Renaudin becomes global CFO of EQT Real Estate, and executive managing director Tuba Malinowski becomes head of U.S. Diversified Real Estate.

The industrial carve-out lines up with EQT's 2026 activity in the sector. In August the firm agreed to pay $1.2 billion for Rexford Industrial's non-core portfolio, which this publication described as splitting into coastal land and Inland Empire scale. That same month EQT exited 10.5 million square feet of Southeast logistics to LBA.

The Stockbridge announcement pictured an industrial property in Perris, Calif., in the Inland Empire. On Oct. 13, KPERS committed $100 million to EQT Exeter's U.S. industrial value-add Fund VII, which carries a $6 billion maximum size.

PRED's records list EQT Real Estate with $35.1 billion in regulatory assets and 222 employees as of Oct. 10 — a different measure from fee-generating assets, but an indication of the platform Stockbridge is joining.
